バリアント株が急落、粉飾決算疑うリポートを嫌気

カナダの医薬品メーカー、バリアント・ファーマシューティカルズ・インターナショナルの不正会計疑惑が報じられ、同社の株価が大幅に下落したという記事。

「シトロン･リサーチによると、バリアントはフィリドールＲＸサービシズという名称の特殊医薬品会社を活用。この会社に在庫を蓄えさせ、取引を売上高として計上していたという。サイトに掲載されたリポートは「これはエンロン・パート２なのか」とし、「あまりに似ており、無視できない」と指摘した。」

「空売り業者が運営する株式情報サイト、シトロン・リサーチは、バリアントがフィリドーを利用して在庫を蓄え、それらの取引を売り上げとして計上していたと指摘。バリアントはこれに対し、リポートは「誤り」だと反論し、医薬品は患者に届けられた時点で売り上げとして計上されると説明していた。

ピアソンＣＥＯと他の４人の経営幹部、６人の取締役が26日の電話会議で釈明したが、アナリストによれば、バリアントとフィリドーとの継続的関係をめぐる重要な質問には答えず、投資家の疑念を晴らすには至らなかった。26日のニューヨーク市場で同社の株価は5.3％安の110.04ドルで終了した。」

フィリドーを連結範囲に含めているので、売上先行計上などはないという主張のようです。ただし、フィリドーを買収したということは、これまで開示されていなかったようです。

こちらの記事では、スキャンダルのもとになったR&O Pharmacyという南カルフォルニアの小さな薬局チェーンをめぐるあやしい取引（訴訟になっているそうです）を取り上げています。フィリドーと関係のあるペーパーカンパニーに実質上買収されたころから、この薬局で調剤していない薬剤費の請求がこの薬局名義で大量に行われたのだそうです。末尾の動画ではシトロンを設立したアンドルー・レフト氏が登場しています。

Even before the sale agreement was executed, other pharmacies began using an R&O identification number to bill for prescriptions that R&O hadn’t filled, sometimes for drugs the store didn’t stock, according to the court documents.

バリアントがかかわっているからくりが明らかになったのは、つい最近だったようです。

Reitz’s effort to learn who was selling drugs in his name -- peeling back, along the way, layers of corporate structures -- emerges in e-mails, letters and other documents filed in state court in Los Angeles, as well as in a lawsuit R&O filed against Valeant in federal court there early this month.

R&O’s suit asked why Valeant was asking it for money. Answers soon began to emerge. On Oct. 19, Valeant confirmed its link to a Pennsylvania mail-order pharmacy called Philidor. Valeant paid $100 million late last year for an option to buy Philidor for nothing over the next 10 years, Valeant said on an Oct. 26 conference call. Philidor has an option to buy a Delaware entity called Isolani LLC, which, in turn, has an agreement to buy R&O Pharmacy, Valeant said on the call.

こちらは、フィリドーでは、医者や患者がジェネリック医薬品ではなくバリアントの製品を求めているかのように処方箋を操作していたという記事。会計不正がなかったとしても、かなり危ない営業活動を米国内で行っていたことはたしかなようです。

A specialty pharmacy that fills prescriptions for Valeant Pharmaceuticals International Inc. has altered doctors’ orders to wring more reimbursements out of insurers, according to former employees and an internal document.

Workers at the mail-order pharmacy, Philidor RX Services LLC, were given written instructions to change codes on prescriptions in some cases so it would appear that physicians required or patients desired Valeant’s brand-name drugs -- not less expensive generic versions -- be dispensed, the former employees said. Typically, pharmacists will sell a generic version if not precisely told to do otherwise by a “dispense as written” indication on a script. The more "dispense as written" orders, the more sales for the brand-name drugmaker.
