英飲料会社のインド子会社で不正の疑い、現地トップ更迭をめぐり紛糾（economiaより）

Diageo embroiled in battle over leadership of USL

英国の飲料会社Diageo社のインド子会社United Spirits Limited (USL)社で会計上の不正が見つかり、その子会社の会長との間でもめているという記事。

British drinks company Diageo has been embroiled in a bitter battle between United Spirits Limited (USL) and its chairman, Dr Vijay Mallya, after a PwC report indicated financial irregularities

USL社の取締役会は、財務諸表と監査報告書において言及されている事項への調査開始を決定し、Mallya 会長に対して辞任を求めました。

Mallya was asked to step down this weekend by the board of USL, after it launched an inquiry into matters referred to in the financial statements and auditors report for the year ended 31 March.

現地紙によると、会社の帳簿へのPwCのフォレンジック監査により「不正と違反」が発見されたそうです。具体的には、2010年から2013年までの間に、多数の取引において、会社や子会社から、UB Groupの会社、特にKingfisher Airlinesへの資金流出があったとのことです。（Mallya 会長は、「ユナイテッド・ブリュワリーズ・グループの会長でキングフィッシャー航空の創業者」（ウィキペディアより）だそうです。）

According to the Economic Times of India, a PwC forensic audit into the company's books found "impropriety and violations".

The inquiry revealed that between 2010 and 2013, funds involved in many transactions were diverted from the company and/or its subsidiaries to certain UB Group companies, including in particular, Kingfisher Airlines, the Economic Times reported.

Diageo社はUSL社の過半数の持ち分を保有していますが、USL社およびMallya会長との契約上の取り決めにより、同会長が会長職にとどまることを支持する義務があります。しかし、それは一定の条件が満たされ、かつ、職務怠慢がない場合であり、現在、この契約上の取り決めの下での立場を検討しているところだそうです。

Diageo, which owns a majority stake in USL, yesterday released a statement to the stock market which revealed that its contractual arrangement with USL and Mallya means it is obliged to support him continuing as non-executive director and chairman of USL, “subject to certain conditions and in the absence of certain defaults”.

It said it would now “consider its position” under the contractual arrangements.

Diageo社は、2012年と2014年の2回に分けてUSL社の株式を取得し、傘下に収めたばかりのようです。その時の取り決めにより、簡単に会長をやめさせることができない模様です。
