米ＰｗＣ、初の社外理事を任命（economiaより）

PwC US puts independent directors on board

米PwCが、初となる社外理事（independent directors）2名を理事会（governing board）メンバーに任命するという記事。（ということは今までは社外からの理事はいなかったということになります。）

The Big Four firm is set to appoint independent directors to its governing board for the first time

Carlos Gutierrez氏（1953年生まれ）と Carol Pottenger氏（1955年生まれ）の2名です。

PwC US will appoint Carlos Gutierrez and Carol Pottenger, according to a report in the Wall Street Journal.

Gutierrez氏は、ケロッグ社の元CEO（在任は2004年まで）で、ジョージ・W・ブッシュ政権において商務長官をつとめています。ちなみに、ケロッグ社は現在PwCが監査しているようです。

Gutierrez was secretary of commerce in the George W Bush administration. He was also the chairman and CEO of Kellogg Company.

共和党政権で要職を務めた人物ということになりますが、昨年の大統領選挙では、トランプではなくクリントンを支持したそうです。（現政権への忖度はなさそうです。）

Despite his work with a Republican government during last year’s presidential election, Gutierrez backed Hilary Clinton not Donald Trump. In a campaign ad for the Democratic nominee he said, “For me, country first, and then party.”

Pottenger氏は、女性ですが、米海軍で素晴らしいキャリアを築いた人物で、中将の地位にまで昇っています。女性として始めて海上勤務に任ぜられたうちのひとりとのことです。（「軍産複合体」という言葉もあり、会計事務所もその一部なのかと、少し怖い感じもしますが）

In a distinguished career in the US Navy Pottenger, one of the first women among the first women to be assigned to serve at sea, finished in the rank of vice admiral.

2013年に退官し、現在、多くの組織の理事会で、顧問を務めています。自分でコンサル会社ももっているそうです。

She retired from the Navy in 2013 and now serves on a number of boards in an advisory capacity. Pottenger also owns a consulting business.

日本の大手監査法人の社外委員と比べると、人数は2名と少数ですが、男女1人ずつで、また、経歴や人種などにも配慮しているのでしょう。年齢的には、60代前半で日本よりはやや若め（？）。また、それなりに大物のようです。

ボード・メンバーは全部で22名（うち女性は5名）です（黒人やアジア系はいません）。そのうち、今回追加された2名が社外のメンバーとなります。
