アメリカの中国系企業250社に上場廃止リスク
トランプ政権が会計監査めぐる｢覚書｣破棄へ

米PCAOBと中国当局が2013年に結んだ「覚書」を、トランプ政権が一方的に破棄する方針だという記事。その影響で、米国証券市場から中国系企業が閉め出されるおそれがあるそうです。

「アメリカのいら立ちの背景には、中国系企業の会計監査をめぐる米中証券監督当局の見解の相違がある。アメリカは長年、中国系企業の監査に携わる中国本土の監査法人への立ち入り調査や、監査記録の原本の提出を要求し続けてきた。これに対して中国は、立ち入り調査は中国当局の監督下で行うことを求め、監査記録のなかで国家機密に触れるものは提出できないとの立場を譲らなかった。

そして、相違点を残した妥協案として結ばれたのが2013年の覚書だった。その取り決めに基づき、証監会はこれまでに中国系企業14社の監査記録の原本をアメリカ証券取引員会（SEC）とPCAOBに提供した。しかし最近の米中関係の悪化に加え、今年4月に発覚した瑞幸咖啡（ラッキン・コーヒー）の不正会計事件が、中国系企業の経営の透明性に対するアメリカの懸念を増幅させた。

覚書の破棄は、PCAOBが中国のカウンターパートとの協力を放棄することを意味する。それはアメリカでの中国系企業の上場廃止に直結しかねない。」

監査の監督の問題というだけでなく、米中対立のひとつの論点となっているのでしょう。

PCAOB Enters into Enforcement Cooperation Agreement with Chinese Regulators（PCAOB）

The MOU establishes a cooperative framework between the parties for the production and exchange of audit documents relevant to investigations in both countries’ respective jurisdictions. More specifically, it provides a mechanism for the parties to request and receive from each other assistance in obtaining documents and information in furtherance of their investigative duties.

ちなみに日本の当局とも2011年に協定を結んでいます。それ以前は、PCAOBが日本の国外で検査をしていたようです。

PCAOB Enters into Exchange of Letters with Japan（PCAOB）

While the PCAOB has conducted inspections on its own of PCAOB-registered firms from Japan since 2007, the exchange of letters provides a basis to conduct on-site visits of the firms in Japan in close cooperation with the Japanese regulators.

The agreement also includes provisions governing the exchange of confidential information between the oversight authorities, consistent with the provisions of the 2010 Dodd-Frank Wall Street Reform and Consumer Protection Act. Those provisions amended the Sarbanes-Oxley Act of 2002 to permit the PCAOB to share confidential information with its non-U.S. counterparts under certain circumstances.

日本のPCAOB登録監査事務所に対しては、PCAOBが直接検査していると思われますが、中国の事務所に対しては、検査はせずに、監査調書の提供だけだったのでしょうか。
