米HP社、株主からの集団訴訟で1億ドルの和解金（economiaより）

HP settles $100m shareholder suit

米HP社が、英Autonomy社買収をめぐる株主集団訴訟の和解金として1億ドルを支払うことに合意したという記事。

HP has agreed to pay $100m (£65m) to a group of shareholders over a claim regarding the ill-fated purchase of Autonomy

この訴訟は、オランダの年金基金運用者PGGMが率いたもので、HP社がこの120億ドルの買収案件に関して株主をミスリードしたと主張していました。和解金は、Autonomy社買収よりあとにHP社の株式を購入した投資家の間で分配されます。

The class action, which claimed HP had misled shareholders with the $12bn acquisition, was led by Dutch pension fund manager PGGM. The settlement will be split among those who bought shares in the PC giant after the Autonomy deal.

HPは、主張には根拠がないとしていますが、訴訟が継続すると負担になるという理由で和解に応じました。

Despite the payout, HP said the claim had "no merit" but that it had settled because "further litigation would be burdensome and protracted”.

HPは、Autonomy社を2011年に120億ドルで買収しました。2012年11月になって、HPは、Autonomyの前経営陣を不適切会計で告発し、彼らが、Autonomyの財政状態に関してHPをミスリードし、50億ドルもの評価減を余儀なくされたと主張しました。

HP bought the software company in 2011 for $12bn. In November 2012, the world’s largest PC manufacturer accused Autonomy’s former management of accounting improprieties and claimed that they had misled the US business about Autonomy’s financial health, forcing it to write off $5bn.

昨年2月に、HPは、 Autonomyの2010年決算の訂正版を英国で提出しました。それによると、Autonomyは、収益や利益を最大81％も水増ししていたとされています。

In February last year HP filed revised 2010 accounts for Autonomy in the UK which alleged that it had inflated its revenue and profit by up to 81%. The revisions saw profit after tax reduced from £105.7m to £19.6m and revenue from £175.6m to £81.3m.

日本のリクシルと同じような事件ですが、HPの場合は買収した会社が破たんするところまではいかなかったので、まだましなのかもしれません（ただし評価減の金額はリクシルの損失よりはるかに大きなものです）。
