Eddie Bauer, Chapter 11

最近、頻出するチャプター11。今度はエディーバウアー社がデラウェア州の連邦破産裁判所に連邦破産法11条適用を申請しました。以下は、抜粋。

　Eddie Bauer Holdings, Inc. ("the Company") announced that it has voluntarily initiated proceedings under Chapter 11 of the U.S. Bankruptcy Code in the U.S. Bankruptcy Court in Delaware and under the Companies' Creditors Arrangement Act (CCAA) in Canada in the Ontario Superior Court of Justice (Commercial List), and is pursuing a sale process under Section 363 of the Bankruptcy Code and under the CCAA.

The Company has entered into an asset purchase agreement with an affiliate of CCMP Capital Advisors, LLC ("CCMP Capital") to buy the Company's assets through a bankruptcy process, subject to an auction and Bankruptcy Court approval, for $202 million in cash, with working capital and similar adjustments. CCMP Capital, a global private equity firm with significant experience in the retail and consumer sectors, intends to operate the business as a going concern with little or no long-term debt.

The sale process is expected to enable a sale of the business to CCMP Capital or any higher and better bidder approved by the Court on an accelerated basis, thereby transforming the business into a financially stronger entity with substantially less debt and a better position for the future. The Company currently anticipates completing the sale process in 60 days or less.

同社はジーンズ系も多く扱い、私も何点か持っています。
記事中、"operate the business as a going concern "　のくだりで
「でた～、ゴーイングコンサーン、明日の授業で使うか？」と授業にすぐリンク付けする私でした。(笑)

ドラッグストア考（改正薬事法の後）

ご存知のとおり、6月から改正薬事法が施行されました。
詳細は、既にご承知と思いますので、略させていただき、
改正法により大きな影響を受けると言われてた、いわゆるドラッグストアについてちょこっと。

スーパーやコンビニが大衆薬を扱えるようになって
近くのドラッグストアは、何と第一類の扱いをやめてしまいました。
これまでは、薬剤師が常駐しており、第一類も扱っていましたが、今回、法改正に伴い、薬剤師を外し＝第一類も外すという路線変更のようです。

この流れが日本全国一般的かどうかは不明ですが、
薬剤師の不在は不便かつ不安です。
第何類かを問わず、やはりプロだけあって薬剤に関する詳しい専門知識をもっていますから。

しかし、翻って考えると、これならスーパーやコンビニと差がなくなるのでは？　
さらに、価格がスーパーなどの方が安いなら、ドラッグストアに足を運ぶ必要はなくなるわけで。（自分で価格の比較をしていないのでわからないが、スーパーの方が安いという人も。）生き残るのは大変そう・・・。
