最近仕事で世界的に超大手のネットワーク機器メーカーとの契約書をチェックしましたが、その契約書の保証に関する除外項目を列挙している個所で ＩＴ業界の契約書では初めて出会う言葉がありました。 その個所に、（前略）without limitation, any warranty or condition (A) of merchantability, fitness for a particular purpose, noninfringement, title, satisfactory quality, quiet enjoyment, accuracy (B) arising from any course of dealing, （後略）とありましたが、この中の "quiet enjoyment" が何を示すか分かりませんでしたので調べて見るとオンライン辞書に：
quiet enjoyment n. the right to enjoy and use premises (particularly a residence) in peace and without interference. Quiet enjoyment is often a condition included in a lease. Thus, if the landlord interferes with quiet enjoyment, he/she may be sued for breach of contract. Disturbance of quiet enjoyment by another can be a "nuisance" for which a lawsuit may be brought to halt the interference or obtain damages for it.
とありました。 つまり不動産の賃貸契約などで借家(借地）人が大家の干渉を受けずに平和な生活ができる権利の様でした。 それではネットワーク機器メーカーの契約書でこの "quiet enjoyment" が何を示すかは依然と謎で、考え込んでいたら、そのメーカーからその契約書のドラフトは間違って送ったので取り消すので無視して欲しいとして全く内容のことなる契約書を送ってきました。 新しい契約書からは "quiet enjoyment" は消えておりました。
